A share transfer is the formal change of ownership of existing shares from one shareholder to another. Unlike a capital increase, no new shares are created. The transfer must be properly documented with a Form 32A, approved by the board, and lodged with SSM.
Transfer ownership the right way
Generally yes. The Stamp Act 1949 applies to share transfers, and the duty is calculated based on the higher of the consideration paid or the net tangible asset value per share. We will advise on the applicable amount.
Check your company's constitution first. Some constitutions include pre-emption rights that require shares to be offered to existing shareholders before transferring to an outsider.
Once all documents are signed and stamp duty is settled, the SSM lodgement typically completes within 3 to 5 working days.
