Change of Director / Shareholder

Adding or removing a director or shareholder? We prepare all the required resolutions and forms, and lodge them with SSM on your behalf.

What Is It?

Any change to who directs or owns your company — appointing a new director, resigning an existing one, or transferring/allotting shares — must be formally resolved and lodged with SSM under the Companies Act 2016. This is for companies already registered with SSM; if you haven't incorporated yet, see Sdn Bhd Registration instead.

Change of Director/Shareholder Keep your records current

Why You Need It

  • SSM's records must reflect who actually directs and owns your company — this is a legal obligation, not optional paperwork.
  • Banks, investors, and clients may rely on SSM's records — an outdated register can cause friction with things like bank account changes or due diligence.
  • An outgoing director remains legally responsible until the change is properly filed — don't leave it informal.

What You'll Need

  • Details of the incoming and/or outgoing director/shareholder (name, MyKad, contact details).
  • MyKad (IC) front and back for anyone being newly appointed.
  • We prepare the board/members' resolutions for you — you won't need to draft anything yourself.

Yes, this service covers shareholder changes and share transfers as well as director changes. If your situation is more complex (e.g. a new share class, or a significant restructuring), contact us first so we can scope it properly.

A director's legal responsibilities continue until the resignation is properly lodged with SSM — this is exactly why timely filing matters. We recommend not delaying once someone has agreed to step down.
